Terms of Service
These Terms of Service (“Terms”) govern the supply of professional business and consulting services by It Girl Studios Pty Ltd (ABN 84 703 591 253) of Melbourne VIC (“we”, “us”, “our”) to you, the client (“you”, “your”). By engaging our services, accepting a quote from us, or otherwise using our website at https://itgirlstudios.online, you agree to be bound by these Terms.
1. Our Services
We provide professional business and consulting services, including business advisory, strategy and planning support, operational review, and related consulting work. The specific scope, deliverables, timelines, and fees applicable to your engagement will be set out in the written quote or engagement summary we provide to you before work commences.
2. Quotes and Engagement
- All quotes are provided in writing and are valid for 30 days from the date of issue unless otherwise stated.
- A quote is an estimate of the fees required to complete the described scope of work. Work outside the agreed scope may require a revised quote or additional fees, which we will discuss with you before proceeding.
- An engagement is formed when you accept a quote in writing (including by email) or when you otherwise instruct us to proceed with the work.
- Estimated timeframes are provided in good faith but are not guaranteed, as delivery may be affected by factors outside our reasonable control, including your availability and timely provision of information.
3. Payment Terms
- Invoices are payable within 14 days of the date of issue unless otherwise agreed in writing.
- We may require a deposit or progress payments for larger engagements. Any such requirement will be set out in your quote.
- All fees are quoted in Australian dollars (AUD). Where applicable, fees include Goods and Services Tax (GST) as required by Australian law, and our tax invoices will show GST separately where applicable.
- Overdue accounts may attract interest and reasonable recovery costs. If an invoice remains unpaid, we may suspend work on your engagement until the account is brought up to date.
- You are responsible for any bank fees or transaction costs associated with your chosen payment method.
4. Cancellations and Rescheduling
- If you need to cancel or reschedule a scheduled consultation or meeting, please give us at least 24 hours’ notice where possible.
- Work already completed up to the date of cancellation will be invoiced, including any non-refundable costs we have incurred on your behalf with your consent.
- We reserve the right to cancel or reschedule an engagement in circumstances beyond our reasonable control. Where we do so, we will offer to reschedule at the earliest mutually convenient time.
5. Your Responsibilities
- You agree to provide accurate, complete, and timely information reasonably required for us to perform the services.
- You confirm that any materials, records, or documents you supply to us are lawfully yours to provide and do not infringe the rights of any third party.
- You are responsible for decisions you make based on our advice. Our services are advisory in nature and do not constitute legal, financial, taxation, or accounting advice unless expressly agreed in writing.
6. Intellectual Property
- Upon full payment of our fees, you receive a licence to use the deliverables prepared for you under the engagement for your internal business purposes.
- We retain ownership of our pre-existing methodologies, frameworks, templates, tools, and know-how, which remain our intellectual property.
- Our website content, branding, and marketing materials remain our property and may not be reproduced without our written consent.
7. Confidentiality
We treat your business information as confidential and will not disclose it to third parties except where required by law, where you have given consent, or where reasonably necessary to perform the services (for example, engaging a subcontractor under equivalent confidentiality obligations). We ask that you likewise keep our commercial terms, methodologies, and fee structures confidential.
8. Limitation of Liability
- To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential loss, including loss of profit, revenue, or business opportunity, arising from the services.
- Our total aggregate liability for any claim arising from or in connection with the services is limited to the fees you actually paid to us for the engagement giving rise to the claim.
- Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including under the Australian Consumer Law (see section 9).
9. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law, as set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth). Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you may have under the Australian Consumer Law. If our services fail to meet a consumer guarantee, you may be entitled to a remedy such as resupply of the services or payment of the cost of having the services supplied again.
10. Privacy
We handle personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. Our collection, use, and disclosure of your personal information is described in that policy.
11. Third-Party Links and Tools
Our website and deliverables may reference third-party websites, tools, or resources. These are provided for convenience only, and we do not endorse or accept responsibility for their content, availability, or practices.
12. Force Majeure
We are not liable for delay or failure to perform our obligations where the delay or failure is caused by events beyond our reasonable control, including natural disasters, strikes, government restrictions, or serious disruption to utilities or communications networks.
13. Governing Law
These Terms are governed by the laws of Victoria, Australia, and the Commonwealth of Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria.
14. Changes to These Terms
We may update these Terms from time to time. The current version will always be published on this page with a revised “last updated” date. The Terms in force at the time you accept a quote or engage our services will apply to that engagement.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be read down or severed to the minimum extent necessary, and the remaining provisions will continue in full force.
